By accessing or using code-fellow.com ("the Website") or engaging CodeFellow IT Services ("CodeFellow", "we", "us") to provide professional services, you agree to be bound by these Terms of Service. If you do not agree, please do not use the Website or our services.

2. Services

CodeFellow provides software development, consulting, and related technology services ("Services"). The specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate Statement of Work or Service Agreement executed between CodeFellow and the client. These Terms apply in addition to any such agreement.

3. Website use

You agree to use the Website only for lawful purposes. You must not:

With respect to client work: intellectual property ownership for deliverables is determined by the terms of the individual engagement agreement. In the absence of a contrary agreement, all rights to custom-developed software transfer to the client upon full payment.

5. Disclaimer of warranties

The Website is provided "as is" without warranties of any kind, either express or implied. CodeFellow does not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.

6. Limitation of liability

To the maximum extent permitted by applicable law, CodeFellow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or our services. Our total liability to you for any claim arising from or related to these Terms shall not exceed the amounts paid by you to CodeFellow in the twelve months preceding the claim.

7. Governing law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation in the first instance, followed by binding arbitration if not resolved within 30 days.
